[Contact Email] below with a real support address. This is a standard starting template, not a substitute for review by a lawyer licensed in your jurisdiction — especially before processing real payments at any scale.
These Terms of Service ("Terms") govern your access to and use of Deduplex (the "Service"), operated by Zach Audan, doing business as Deduplex ("we," "us," or "our"). By creating an account, calling the API, or otherwise using the Service, you agree to these Terms.
Deduplex provides an idempotency-key API and related tooling that helps prevent duplicate execution of tool calls made by AI agents or other automated systems. The Service is provided on an "as is" and "as available" basis.
You are responsible for safeguarding any API key or admin token issued to you, and for all activity that occurs under your account. Notify us promptly at [Contact Email] if you suspect a key has been compromised.
You agree not to use the Service to: violate any applicable law; interfere with or disrupt the integrity or performance of the Service; attempt to gain unauthorized access to the Service or its related systems; or use the Service to process data you do not have the right to process.
Paid usage is billed as described at signup (currently: a free tier up to a stated monthly call volume, then usage-based billing above that tier). Charges are processed by Stripe; by subscribing you also agree to Stripe's terms as they apply to processing your payment method. Fees are non-refundable except where required by law.
The Service maintains a hash-chained audit log of idempotency-key attempts, completions, and blocked duplicates for your account, to support the integrity guarantees the product is built around. See the Privacy Policy for how this data is handled.
The Service is provided without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every duplicate call will be caught under all failure conditions.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service.
You may stop using the Service at any time. We may suspend or terminate access to the Service for any account that violates these Terms or that we reasonably believe poses a security or legal risk to the Service or other users.
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Quebec.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after a change constitutes acceptance of the revised Terms.
Questions about these Terms can be sent to [Contact Email].
